REVISED BYLAWS OF THE LAKE SAWYER COMMUNITY CLUB, INC.

(EFFECTIVE FEBRUARY 13, 1997)

ARTICLE I - NAME

The name of the Corporation shall be Lake Sawyer Community Club, Inc., hereafter referred to as "the Club" or "LSCC".

ARTICLE II - PURPOSE

The purpose of the LSCC is to bring together all Members in good standing to inform and discuss mutual problems, concerns and interests affecting our community, the Lake, and our surrounding environment.

ARTICLE III - MEMBERSHIP

Section 1: Full Membership with voting privileges is open to those owning lots abutting on Lake Sawyer or its outlet, which are of a suitable size to build a single family dwelling according to the Building Codes of King County.

Section 2: Associate Membership is open to those having access to Lake Sawyer through a community lot, or to tenants renting a home on the lake, the outlet, or a home with access through a community lot.

Associate Members shall enjoy all privileges of the Club, with the exception of the right to vote or to hold an elective office. Dues for Associate Membership shall be one-half the amount of a full membership. The Board of Trustees shall have the authority to set a limit on the number of Associate Memberships which may be accepted annually

Section 3: A Social Membership is open to non-lake residents who are personally sponsored by a current Member in good standing. Applications for Social Membership must be presented to the Board of Trustees for approval.

Social Members shall enjoy all privileges of the Club with the exception of the right to vote or to hold an elective office. Dues for Social Members shall be one-half the amount of a full Membership. The Board of Trustees shall have the authority to set a limit on the number of Social Memberships which may be accepted annually.

Section 4: Membership shall be granted upon payment of dues, with a minimum age limit of 18.

Section 5: A member may resign from the Club at any time. Nonpayment of annual dues is automatic termination of Membership in the Club.

Section 6: Upon termination of any person’s Membership in the Club, he/she shall automatically forfeit any and all right, title, or interest in and to the Corporation’s property and assets.

ARTICLE IV - MANAGEMENT

The Club Manager shall be responsible for the management of the Clubhouse under the direction of the President and the Board of Trustees.

ARTICLE V - OFFICERS & TRUSTEES

Section 1: The Board of Trustees shall conduct the business and social affairs of the Club, and shall keep its Members advised of current issues that may or may not affect the quality of life at Lake Sawyer.

There shall be nine Trustees, designated by the following titles: President, Vice President, Secretary, Treasurer, Trustee 1, Trustee 2, Trustee 3, Trustee 4, and Trustee 5. The outgoing President shall be Trustee 5 the following year, unless elected to another office.

Section 2: The Trustees shall be elected by the Members at the Annual Election Meeting in February. One-year terms will be held by the following positions: President, Vice President, Secretary, Treasurer, and Trustee 5. Trustee positions one through four will each be for two-year terms. Trustees one and three will be elected on odd years, and Trustees two and four will be elected on even years.

Nominations of candidates shall be presented at the Annual Election Meeting in February by the Nominating Committee, previously appointed by the President. Nominations may also be made from the floor by Members in good standing, and each candidate must also be a Member in good standing. A majority of more than half of the votes cast for any candidate shall cause his election. A majority of Members present at the Election Meeting may decide whether any Trustees may serve for more than one consecutive term.

Section 3: The President shall preside at all meetings of the Club and of the Board of Trustees, shall appoint all committees, and shall carry out all responsibilities assigned by these Bylaws and by the Board of Trustees.

Section 4: During the absence of the President, the Vice President shall perform the duties and have the powers of the President.

Section 5: The Secretary shall keep all records of the Club, send out notices of meetings and communications, record accurate minutes of all meetings, and keep an up-to-date file of current Members.

Section 6: The Treasurer shall keep all accounts of the Club and have charge of its funds. All funds shall be kept in a bank approved by the Board of Trustees and in the name of the Club, subject to withdrawal by check signed by both the Treasurer and the President.

Section 7: The Club Manager shall manage the affairs of the Clubhouse and shall report to the Board of Trustees. The Clubhouse Manager shall be appointed by the President, with ratification by 2/3 of the Board of Trustees.

Section 8: Vacancies in any elective office may be filled by appointment by the President, with ratification by 2/3 of the Board of Trustees. Those appointed shall serve for the remainder of the term.

Section 9: A special meeting for the removal of a Trustee may be called by the Board of Trustees, upon consent of the majority of the Board. Removal from office will be by a majority vote of the Board Members present at the meeting.

Section 10: All instruments of acquisition or conveyance of Corporation property, or evidence of indebtedness, shall be signed by the President, plus two members of the Board of Trustees.

ARTICLE VI - BOARD OF TRUSTEES

Section 1: The Board of Trustees shall consist of nine Members; four Officers and five Trustees.

Section 2: A majority of the Board of Trustees shall constitute a quorum at any meeting of the Board of Trustees.

Section 3: The Board of Trustees may employ any personnel necessary, and for which funds are available, to aid in the maintenance, management and general operating expenses of the Clubhouse.

Section 4: Regular meetings of the Board of Trustees will be held monthly at a time and place designated by the President.

Section 5: Special meetings of the Board of Trustees may be called by the President, notice of which shall be given in sufficient time to permit Members to be present.

ARTICLE VII - YEAR-END

The year-end of the Club shall be December 31.

ARTICLE VIII - DUES

Section 1: Annual dues shall be in an amount established by the Board of Trustees for each family and/or single person household. All dues shall be payable on January 1 of each year, and considered delinquent if not received by April 1 of the same year. No member shall be entitled to vote if his/her dues are not current.

Section 2: Any surplus funds remaining in the treasury upon the dissolution of this Corporation shall be prorated and distributed to the Members in good standing as of the date of dissolution, according to the wishes of the majority.

ARTICLE IX - EXPENDITURES AND ASSESSMENTS

Section 1: Operating expenses of the Club shall be approved by the Board of Trustees. The Officers, Trustees and/or any paid employees of the Club may not obligate the Club in excess of any approved expenditure.

Section 2: Assessments, as approved by the total Membership, utilizing absentee ballots, may be levied for special purposes following 30-day written notice to the Membership. Acceptance or rejection of an assessment shall be established by a 75% majority of the votes cast.

Section 3: Absentee ballots will be used as provided by these Bylaws. When an absentee ballot is used, acceptance or rejection of an issue will be determined by a simple majority of total votes cast.

ARTICLE X - MEETINGS

Section 1: The Annual Election Meeting of the Members of the Club shall be held in February at a time and place as designated by the Board of Trustees. Additional meetings of the Members may be held as needed.

Section 2: A majority of the voting Members present at a meeting shall constitute a quorum. Any action taken at a meeting shall require a majority vote of those present, except any action involving special expenditures or assessments.

Section 3: All meetings of the Members of the Club will be conducted in accordance with Robert’s Rules of Order.

ARTICLE XI - AMENDMENTS

These Bylaws may be amended at any meeting of the Club by a majority vote of the Members, providing written notice of the proposed changes have been mailed to each Member, indicating the date of the meeting and the proposed amendment or amendments to be considered.

ARTICLE XII - TABULATION OF VOTES

The President shall appoint a committee of three Members to tabulate all votes, including absentee ballots, which must be in the hands of the Secretary by the specified date.
